This campaign is organized by SC TOKHIT APP SRL, headquartered in Cluj-Napoca, 2A Mircea Eliade Street, ap. 7, Cluj County, Romania, registered at the National Trade Register, Cluj Office under J12/1969/2021, CIF 44149218, represented by Andrei George Ureche, as its Administrator. SC TOKHIT APP SRL (The “Organizer”) will conduct the giveaway named “20,000 Telegram International Members” following the steps described in these Official Campaign Rules.

This campaign has the exclusive goal of boosting TOKHIT’s market visibility by raising the brand’s number of Facebook, Instagram, Twitter, and Telegram followers. 

The giveaway hosted by SC TOKHIT APP SRL is in no way sponsored, endorsed, administered by, or associated with Facebook, Instagram, Twitter, Telegram, or LinkedIn. By entering, Entrants agree to a complete release of Facebook, Instagram, Twitter, Telegram or LinkedIn. No purchase is required to enter or win this giveaway, nor will a purchase boost one’s chances of winning one of the giveaway’s prizes. 

Agreement to Rules: 

By entering this giveaway, the Entrant (“You”) agrees to abide by the Organizer's Official Rules and decisions, which are fully and unconditionally binding in all respects. The Organizer reserves the right to refuse, withdraw, or disqualify any entry at any time at the Organizer’s sole discretion. By entering this giveaway, the Entrant warrants that they are eligible to participate based on the eligibility requirements explained in the Official Rules. The Entrant also agrees to accept the decisions taken by the Organizer regarding the “Get Telegram International to 20,000 Members” giveaway as final and binding. 

The “Get Telegram International to 20,000 Members” giveaway is open to any person who owns a Facebook or/and an Instagram or/ and a Twitter or/and a Telegram account. Entrants must have at least 16 years at the time the contest begins.

Entry Period: 

This promotion will run for 30 days, starting on March 1st, 2022, and ending on March 30th, 2022  (“Entry Period”).  Entries must be received within the specified Entry Period to be eligible for the giveaway. The giveaway may be unilaterally interrupted by the Organizer, with 2 days prior notice, through a comment on the giveaway’s Facebook, Instagram, Twitter, or Telegram posts. The Organizer can unilaterally extend the entry period or end the giveaway at any moment.

Eligible entrants can enter the “Get Telegram International to 20,000 Members” giveaway by following the steps outlined in the official giveaway post published on Instagram and/ or Facebook and/ or Twitter. As a participant, your entry must fully meet all giveaway requirements, as specified in the Official Rules, in order to be eligible to win a prize. Incomplete entries or those that do not adhere to the Official Rules or specifications will be disqualified at the Organizer's sole discretion. 

To enter this giveaway, Entrants must have an active account on Facebook and/or Instagram and/ or Twitter and/ or Telegram.  If they don’t have a Facebook/ Instagram/ Telegram account, they can make one prior to entering this contest. Update, April 14th: Starting April 16th, 2022, TOKHIT's Twitter page https://twitter.com/TOKHITSOCIAL will no longer be a viable entry method, following the decision to move TOKHIT's Twitter communication to a new page. All eligible entrants that joined the giveaway through the old Twitter page (https://twitter.com/TOKHITSOCIAL) until April 15th, 2022 (inclusively) will be included in future drawings.

Fraudulent methods of entry or circumvention of the rules may result in the Organizer invalidating the entry and removing the Entrant from the giveaway at the Organizer’s sole discretion. The Organizer reserves its right to disqualify any user who posts morbid or violent messages, as well as messages damaging TOKHIT’s brand image. 

The Organizer does not assume any responsibility for any false information provided by the participants regarding the delivery address or for any problems or misunderstandings that may arise with the courier company. 

The giveaway will have 59 winners. The winners will be selected using the random winner generator whenever one of the thresholds mentioned below is met. 

The prizes (the “Prize”) awarded will be divided as follows:

·       when we reach 5000 members in our TOKHIT International group – 1 pack of 100 HITT tokens for 50 winners

·       when we reach 10,000 members in our TOKHIT International group – 1 pack of 10,000 HITT Tokens for 1 winner

·       when we reach 20,000 members in our TOKHIT International group – 1 iPhone 13 Pro for 1 winner
·       when we reach 2,000/ 6,000/ 8,000/ 12,000/ 14,000/ 16,000/ 18,000 members - a pack of 100 tokens for 1 winner for every crossed threshold

Every prize Winner must be a member of the TOKHIT International group on Telegram. Otherwise, the Organizer deems the Entrant ineligible. 

The actual/appraised prize value may differ at the time the prize is awarded. The prizes shall be determined solely by the Organizer. There shall be no cash or other prize substitution permitted except at the Organizer’s discretion. The prize is non-transferable. The Winner, upon prize acceptance, is solely responsible for all the expenses related to the prize, including without limitation any and all local, state, and federal taxes. The Winner shall not transfer the assignment of the prize to others, nor shall the Winner request the cash equivalent or prize substitution. By accepting the prize, the selected Winner grants permission for the Organizer to use the Winner’s likeness, entry, and name for purposes of advertising and trade without further compensation unless prohibited by law.

The total number of eligible entries received determines the odds of winning. Entrants are free to choose the platform/ entry method they use to enter the contests. Odds can increase if the entrants choose to participate through multiple platforms or to leave multiple comments.

The Winners will be selected through a random drawing under the supervision of the Organizer. The Organizer will use the random winner generator to select the winners, following these steps:

·       The name of eligible giveaway participants from each platform used as an entry method (Facebook, Twitter, Instagram) will be listed on the random winner generator, which will randomly select a winner.

·       The Organizer will check to see if the winner is a member of the TOKHIT International group on Telegram. 

·       If the winner is not a member of the TOKHIT International group on Telegram, the Organizer will initiate a new draw and select a new winner. 

·       The process will be repeated as needed until the Organizer finds a winner who is a member of the TOKHIT International group on Telegram. 

·       The process will be repeated 51 more times, whenever a new threshold is reached, to select all winners.

The Winners (the “Winner”) of the “Get Telegram International to 20,000 Members” giveaway will be announced on the day of the draw, through an update to the Facebook/ Instagram post used to present the giveaway. The Organizer is not responsible for nor shall have no liability for the Winner’s failure to receive notices due to security settings that may cause notifications to be marked as spam or junk. Nor shall the Organizer shall be liable for the Winner’s provision of incorrect or otherwise non-functioning contact information. The Organizer reserves the right to contact the Winners in order to provide and receive additional details regarding the ways in which the Winners can take possession of the prize. 

If the Winner fails to claim the prize within 15 days from the time the award notification was sent, the prize may be forfeited and an alternate Winner may be selected. Receipt of the prize offered in the “Get Telegram International to 20,000 Members” giveaway by the Winner is upon the condition of compliance with any and all federal, state, and local laws and regulations. 

IF THE WINNER VIOLATES ANY OF THESE OFFICIAL RULES, THE WINNER (AT THE ORGANIZER’S SOLE DISCRETION) WILL BE DISQUALIFIED, AND ALL PRIVILEGES AS A WINNER WILL BE IMMEDIATELY TERMINATED.

Terms & Conditions: 

In its sole discretion, the Organizer reserves the right to modify, suspend, cancel, or terminate the “Get Telegram International to 20,000 Members” giveaway for any reason, including if non-authorized human intervention, a bug or virus, fraud, or other causes beyond the organizer’s control, impact or corrupt the security, fairness, proper conduct, or administration of the giveaway. The Organizer, in the event of any of the above issues, may determine the Winner based on all eligible entries received prior to and/or after (if appropriate) the action taken by the Organizer. Individuals who tamper with or attempt to tamper with the operation or entry process of the giveaway or violate these Terms & Conditions will be disqualified by the Organizer in its sole discretion. 

In its sole discretion, the Organizer has the right to maintain the integrity of the “Get Telegram International to 20,000 Members” giveaway to void entries for any reason, including, but not limited to: the use of bots, macros, scripts, or other technical means for entering. Attempts by any entrant to deliberately undermine the legitimate operation of the “Get Telegram International to 20,000 Members” giveaway may be a violation of criminal and civil laws. If any such attempt is made, the Organizer reserves the right to seek damages to the fullest extent permitted by law.

By entering this giveaway, the Entrants have affirmatively reviewed, accepted, and agreed to all of the Official Rules. The Entrants also agree to have their personal data registered in TOKHIT’s database, to have them processed and be used for purposes such as: handing out the prize, registering and validating giveaway winners, direct marketing activities such as informing people included in the TOKHIT database through various means of communication (mail, e-mail, SMS, or any other means of communication permitted by law) regarding future actions carried out by the Organizer, sending various advertising materials, information and/or promotional items and/or samples to the Entrant, if they agree. The agreement will be considered valid starting with the moment an Entrant enters this giveaway. 

Giveaway Entrants are guaranteed the rights provided by law no. 677/2001 on the protection of personal data and the free movement of such data. 

Rights Granted by the Entrant: 

By submitting an entry into this giveaway, You (the “Entrant”) understand and agree that the Organizer and any individual acting on the Organizer’s behalf have the right to print, publish, broadcast, distribute and use in any media known now or hereafter developed, in perpetuity, worldwide, and without limitation, your submission, name, photo, portrait, voice, likeness, image, statements about the giveaway, and your biographical information for news, publicity, advertising, promotional purposes, trade, information, and public relations without any further notice, review, consent, compensation, or remuneration.

Your entry into this giveaway constitutes Your agreement to release the Organizer and its subsidiaries, representatives, affiliates, partners, advertising and promotion agencies, successors, agents, assigns, directors, employees, and officers against and from any and all claims, liability, illness, injury, death, litigation, loss, or damages that may occur, directly or indirectly from participation in the giveaways and/or 1) the winner accepting, possessing, using, or misusing of any awarded prize or any portion thereof; 2) any type of technical failure; 3) the unavailability or inaccessibility of any transmissions, phone, or Internet service; 4) unauthorized intervention in any part of the entry process or the Promotion; 5) electronic error or human error in the Promotion administration or the processing of entries.

Disputes: 

THIS GIVEAWAY IS GOVERNED BY THE LAWS OF ROMANIA. The Entrant agrees, as a condition of participating in this giveaway, that if any disputes cannot be resolved between the Entrant and the Organizer, and if causes of action arise out of or are connected with this Giveaways, they shall be individually resolved exclusively before a court located in Cluj County, having jurisdiction, without resorting to any form of class action. Under no circumstances in any such dispute shall the participant be permitted to obtain awards for, and hereby waives all rights to, punitive, incidental, or consequential damages, including reasonable attorney’s fees, other than the participant’s actual out-of-pocket. The participant waives all rights to have damages multiplied or increased.
