This campaign is organized by SC TOKHIT APP SRL, headquartered in Cluj-Napoca, 2A Mircea Eliade Street, ap. 7, Cluj County, Romania, registered at the National Trade Register, Cluj Office, under J12/1969/2021, CIF 44149218, represented by Andrei George Ureche, as its Administrator. SC TOKHIT APP SRL (The “Organizer”) will conduct the campaign named “Invest in HITT Tokens and Go to NEVERSEA” (the “Campaign”) following the steps described in these Official Campaign Rules.

The campaign hosted by SC TOKHIT APP SRL is in no way sponsored, endorsed, administered by, or associated with Telegram, Facebook, Instagram, Twitter, or LinkedIn. 

Agreement to Rules: 

By entering this campaign, the Entrant (“You”) agrees to abide by the Organizer's Official Rules and decisions, which are fully and unconditionally binding in all respects. The Organizer reserves the right to refuse, withdraw, or disqualify any entry at any time at the Organizer’s sole discretion. By entering this campaign, the Entrant warrants that they are eligible to participate based on the eligibility requirements explained in the Official Rules. The Entrant also agrees to accept the decisions taken by the Organizer regarding the Campaign as final and binding. 

The Campaign is open to any person who is at least 18 years at the time the contest begins. This campaign is open to any person with the means to join the NEVERSEA festival that will take place between the 7th and 10th of July 2022 in Constanta, Romania, and can cover the cost of attending the festival by themselves (traveling, accommodation, and any other expenses). 

Entry Period: 

This promotion will start on June 8th, 2022, and end on July 8th, 2022 (“Entry Period”). The campaign will end before July 8th if all available NEVERSEA Passes are claimed by entrants. The end date will be the date when the last available NEVERSEA Pass was granted. Entries must be received within the specified Entry Period to be eligible for the campaign. The campaign may be unilaterally interrupted by the Organizer in case of force majeure, with 2 days prior notice, through an email or WhatsApp notification sent to the people who joined this campaign. 

Eligible entrants can enter the Campaign between June 8th and July 8th, 2022, by investing $250 in HITT Tokens using one of the investment methods provided by the Organizer. As a participant, your entry must fully meet all campaign requirements, as specified in the Official Rules, in order to be eligible to win a prize. Incomplete entries or those that do not adhere to the Official Rules or specifications will be disqualified at the Organizer's sole discretion. 

Fraudulent methods of entry or circumvention of the rules may result in the Organizer invalidating the entry and removing the Entrant from the campaign at the Organizer’s sole discretion. The Organizer reserves its right to disqualify any user who posts morbid or violent messages, as well as messages damaging TOKHIT’s brand image. 

The Organizer does not assume any responsibility for any false information provided by the participants regarding the delivery address or for any problems or misunderstandings that may arise with the courier company. 

The Organizer will give 1 General Access Pass to NEVERSEA for every $250 invested in HITT Tokens by an entrant. The Organizer will give 1 VIP Pass to NEVERSEA for every $500 invested in HITT Tokens by an entrant. The total number of NEVERSEA Passes available in this campaign is limited to 100 passes, out of which 85 are General Access Passes and 15 are VIP Passes. The Organizer reserves its right to end this campaign before its ending date if all available NEVERSEA passes are awarded prior to that date. 

If an entrant invests $250 in HITT Tokens, they will get the number of HITT Tokens related to their investment in their wallet + 1 General Access Pass to NEVERSEA. 

If an entrant invests $500 in HITT Tokens, they will get the number of HITT Tokens related to their investment in their wallet + 1 VIP Pass to NEVERSEA.

Entrants can choose between 1 VIP Pass and 2 General Access Passes if they invest $500.

The number of NEVERSEA Passes which will be received will be directly determined by the amount they invested in HITT Tokens. For instance, if someone invest $1000 in HITT Tokens, it will receive 2 VIP Passes. 

All General Access Passes and VIP Passes to NEVERSEA are 4-day passes. The passes are awarded courtesy of the Organizer’s partner, NEVERSEA FESTIVAL.

The actual/appraised prize value may differ at the time the prize is awarded. The prizes shall be determined solely by the Organizer. There shall be no cash or other prize substitution permitted except at the Organizer’s discretion. The prize is non-transferable. The Winner, upon prize acceptance, is solely responsible for all the expenses related to the prize, including without limitation any and all local, state, and federal taxes. The Winner shall not transfer the assignment of the prize to others, nor shall the Winner request the cash equivalent or prize substitution. By accepting the prize, the selected Winner grants permission for the Organizer to use the Winner’s likeness, entry, and name for purposes of advertising and trade without further compensation unless prohibited by law.

The Organizer will give 1 General Access Pass for every $250 invested in HITT Tokens and 1 VIP Pass for every $500 invested in HITT Tokens. 

The General Access Passes or VIP Passes to NEVERSEA will be delivered by the Organizer to every eligible Winner, before July 7th 2022 for every eligible Winner that joined this campaign until July 5th, 2022. Eligible Winners that join the campaign between July 6th and July 8th 2022 will receive their prizes General Access Passes or VIP Passes on July 7th or July 8th 2022.  

The Organizer is not responsible for nor shall have no liability for the Winner’s failure to receive notices due to security settings that may cause notifications to be marked as spam or junk. Nor shall the Organizer shall be liable for the Winner’s provision of incorrect or otherwise non-functioning contact information. The Organizer reserves the right to contact the Winners in order to provide and receive additional details regarding the ways in which the Winners can take possession of the prize. 

The Winner of the General Access Passes and VIP Passes to NEVERSEA must cover by themselves any and all traveling, accommodation and any other costs related to their attendance at the NEVERSEA festival. They must also ensure they have the means to participate at the festival. The Organizer is not responsible in any way of a Winner’s inability to join the festival, for any reason. Receipt of the prize offered in the Campaign by the Winner is upon the condition of compliance with any and all federal, state, and local laws and regulations. 

IF THE WINNER VIOLATES ANY OF THESE OFFICIAL RULES, THE WINNER (AT THE ORGANIZER’S SOLE DISCRETION) WILL BE DISQUALIFIED, AND ALL PRIVILEGES AS A WINNER WILL BE IMMEDIATELY TERMINATED.

Terms & Conditions: 

In its sole discretion, the Organizer reserves the right to modify, suspend, cancel, or terminate the Campaign for any reason, including if non-authorized human intervention, a bug or virus, fraud, or other causes beyond the organizer’s control, impact or corrupt the security, fairness, proper conduct, or administration of the campaign. The Organizer, in the event of any of the above issues, may determine the Winner based on all eligible entries received prior to and/or after (if appropriate) the action taken by the Organizer. Individuals who tamper with or attempt to tamper with the operation or entry process of the campaign or violate these Terms & Conditions will be disqualified by the Organizer in its sole discretion. 

In its sole discretion, the Organizer has the right to maintain the integrity of the Campaign to void entries for any reason, including, but not limited to: the use of bots, macros, scripts, or other technical means for entering. Attempts by any entrant to deliberately undermine the legitimate operation of the Campaign may be a violation of criminal and civil laws. If any such attempt is made, the Organizer reserves the right to seek damages to the fullest extent permitted by law.

The main reason why an Entrant (”You”) buys HITT Tokens is determined by the investment in the TOKHIT APP and not by the possibility of obtaining a prize.

 

Any purchase of  HITT Tokens is made by the Entrant (”You”) for the purpose of investing in TOKHIT APP and not for other purposes.

By entering this campaign, the Entrants have affirmatively reviewed, accepted, and agreed to all of the Official Rules. The Entrants also agree to have their personal data registered in TOKHIT’s database, to have them processed and be used for purposes such as: handing out the prize, registering and validating campaign winners, direct marketing activities such as informing people included in the TOKHIT database through various means of communication (mail, e-mail, SMS, or any other means of communication permitted by law) regarding future actions carried out by the Organizer, sending various advertising materials, information and/or promotional items and/or samples to the Entrant, if they agree. The agreement will be considered valid starting with the moment an Entrant enters this campaign. 

Campaign Entrants are guaranteed the rights provided by law no. 677/2001 on the protection of personal data and the free movement of such data. 

Rights Granted by the Entrant: 

By submitting an entry into this campaign, You (the “Entrant”) understand and agree that the Organizer and any individual acting on the Organizer’s behalf have the right to print, publish, broadcast, distribute and use in any media known now or hereafter developed, in perpetuity, worldwide, and without limitation, your submission, name, photo, portrait, voice, likeness, image, statements about the campaign, and your biographical information for news, publicity, advertising, promotional purposes, trade, information, and public relations without any further notice, review, consent, compensation, or remuneration.

Your entry into this campaign constitutes Your agreement to release the Organizer and its subsidiaries, representatives, affiliates, partners, advertising and promotion agencies, successors, agents, assigns, directors, employees, and officers against and from any and all claims, liability, illness, injury, death, litigation, loss, or damages that may occur, directly or indirectly from participation in the campaigns and/or 1) the winner accepting, possessing, using, or misusing of any awarded prize or any portion thereof; 2) any type of technical failure; 3) the unavailability or inaccessibility of any transmissions, phone, or Internet service; 4) unauthorized intervention in any part of the entry process or the Promotion; 5) electronic error or human error in the Promotion administration or the processing of entries.

Disputes: 

THIS CAMPAIGN IS GOVERNED BY THE LAWS OF ROMANIA. The Entrant agrees, as a condition of participating in this campaign, that if any disputes cannot be resolved between the Entrant and the Organizer, and if causes of action arise out of or are connected with this Campaigns, they shall be individually resolved exclusively before a court located in Cluj County, having jurisdiction, without resorting to any form of class action. Under no circumstances in any such dispute shall the participant be permitted to obtain awards for, and hereby waives all rights to, punitive, incidental, or consequential damages, including reasonable attorney’s fees, other than the participant’s actual out-of-pocket. The participant waives all rights to have damages multiplied or increased.
